ByteSlice, LLC — DeepDish Terms of Service

These Terms of Service (“Terms”) govern your access to and use of DeepDish (the “Service”), provided by ByteSlice, LLC (“ByteSlice”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Description of the Service

DeepDish is a data management framework Software as a Service (SaaS) product provided by ByteSlice. The Service allows users to process, analyze, and manage data through our proprietary online platform, subject to these Terms.

2. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction (if different than 18), to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3. Account Registration

To use certain features of the Service, you may be required to create an account. When creating your account, you must provide accurate and complete information. You are responsible for all activities that occur under your account and for maintaining the confidentiality of your account credentials. You agree to notify ByteSlice immediately of any unauthorized use of your account.

4. License and Intellectual Property

4.1 License to Use the Service. Subject to these Terms, ByteSlice grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

4.2 Intellectual Property Rights. All content, brand features, and materials made available through the Service, including but not limited to software, text, graphics, logos, and images, are owned or licensed by ByteSlice and are protected by applicable intellectual property laws. You may not reproduce, modify, distribute, or create derivative works of any portion of the Service without our prior written consent.

5. User Content

You may upload, submit, or otherwise transmit data or other materials through the Service (“User Content”). You retain all rights in, and are solely responsible for, the User Content you provide. By providing User Content to the Service, you grant ByteSlice a worldwide, non-exclusive, royalty-free license to use, copy, reformat, distribute, and display such User Content to the extent necessary to provide the Service. You represent and warrant that you have all the rights necessary to grant these licenses and that your User Content does not infringe the rights of any third party.

Certain features of the Service may require payment of fees. All applicable fees and payment terms will be set forth in the ordering documentation or sign-up process for the Service. If you fail to pay any fees when due, ByteSlice reserves the right to suspend or terminate your access to the Service.

Our Privacy Policy explains how we collect, use, and protect your personal information in connection with the Service. By using the Service, you agree to our Privacy Policy, which is hereby incorporated by reference into these Terms.

9. Confidentiality

Any confidential information shared between you and ByteSlice, including business plans, product roadmaps, pricing, or other proprietary data, shall be maintained as confidential and not disclosed to any third party without the express written consent of the disclosing party, except as required by law.

10. Termination

We may terminate or suspend your access to the Service at any time, with or without notice, for any reason, including if you breach these Terms. Upon termination, you must immediately stop using the Service. Any provisions of these Terms that, by their nature, should survive termination shall remain in effect.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BYTESLICE MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BYTESLICE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

13. Indemnification

You agree to defend, indemnify, and hold harmless ByteSlice from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the Service or your breach of these Terms.

14. Governing Law and Dispute Resolution

These Terms and any action related thereto shall be governed by and construed in accordance with the laws of the state in which ByteSlice is formed, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts located in that state, and you and ByteSlice consent to the personal jurisdiction of such courts.

15. Changes to These Terms

ByteSlice reserves the right to update or modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website or via email. Your continued use of the Service after such changes take effect constitutes your acceptance of the revised Terms.

16. Miscellaneous

16.1 Entire Agreement. These Terms, together with any other agreements referenced herein, constitute the entire agreement between you and ByteSlice regarding the Service.

16.2 No Waiver. The failure of ByteSlice to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

16.3 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may freely assign or transfer these Terms without restriction.
